These Terms of Use (the “Terms”) form a binding agreement between you and NursePrepWise (“NursePrepWise,” “we,” “us,” or “our”), governing your access to and use of NursePrepWise.com and the educational products, services, features, content, question banks, study tools, downloadable resources, tutoring services, and related functionality made available through the website (collectively, the “Service”).
By creating an account, purchasing a subscription, accessing paid content, using free resources, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service. Where applicable law provides you with rights that cannot lawfully be waived or limited, those rights remain unaffected.
1. Agreement and Scope
These Terms apply to individual users of the Service, including visitors, free users, subscribers, and tutoring clients. Unless NursePrepWise enters into a separate written institutional or enterprise agreement, all subscriptions are intended for individual use only.
These Terms, together with our Privacy Policy, Refund and Cancellation Policy, Educational Disclaimer, and any plan-specific or tutoring terms presented to you before purchase, constitute the agreement between you and NursePrepWise regarding the Service. If there is a conflict between these Terms and a separately signed written agreement, the signed agreement controls to the extent of that conflict.
2. Eligibility
You may use the Service only if you can lawfully enter into a binding agreement in your jurisdiction. The Service is not directed to children under 13. If you are under 18 or below the age of majority where you live, you may use the Service only with the permission and supervision of a parent or legal guardian where permitted by law.
You may not purchase or use the Service on behalf of another person for purposes of impersonation, exam misconduct, fraud, unauthorized account sharing, or any unlawful activity. You may not use the Service primarily for the benefit of a competing commercial exam-preparation business, including for systematic content extraction, benchmarking, or replication of our materials.
3. Account Registration and Security
Certain features require an account. You agree to provide accurate, current, and complete information and to keep your account information reasonably up to date. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You must promptly notify us at support@nurseprepwise.com if you reasonably believe your account has been accessed without authorization. You may not knowingly disclose your password, sell or transfer your account, or permit another person to use your individual subscription.
We may use reasonable technical and administrative measures to detect account sharing, fraud, automated extraction, unusual concurrent access, or other misuse. We may temporarily restrict an account while investigating suspected misuse.
4. Grant of Personal License
Subject to payment of any applicable fees and your compliance with these Terms, NursePrepWise grants you a limited, revocable, personal, non-exclusive, non-transferable, and non-sublicensable right to access and use the materials included in your applicable plan solely for your own educational and exam-preparation purposes during the period in which you are entitled to access them.
No ownership right in the Service or any NursePrepWise content is transferred to you. Except for rights expressly granted in these Terms, NursePrepWise and its licensors reserve all rights in and to the Service and its content.
5. Access to Subscription Content
A subscription provides access only to the content and features included in the plan you purchase. Access ordinarily begins after successful payment confirmation and continues for the applicable paid period, unless otherwise stated at checkout.
The number and composition of questions, cheat sheets, subjects, topics, exams, practice tools, and other resources may change during a subscription as content is added, corrected, revised, archived, or replaced. Unless we expressly offer a pause feature, paid subscription periods cannot be paused and resumed later, and unused time does not accumulate or convert into a credit.
Free previews, free questions, and free resources may be modified or discontinued at any time. Access to one exam-preparation area does not necessarily include access to every present or future NursePrepWise product unless the plan description expressly says so.
6. Reasonable Use
NursePrepWise is designed for normal individual study and exam preparation. You may study intensively, repeat questions, revisit explanations, and use permitted study features within the ordinary functionality of the Service.
Reasonable use does not include automated querying, scraping, bulk extraction, unusually rapid generation of tests for the purpose of harvesting content, systematic downloading, credential sharing, multi-user use of an individual account, commercial classroom use without authorization, or other activity reasonably indicative of automated, fraudulent, shared, or competitive use.
We may contact you to clarify unusual usage patterns before taking action where reasonably practicable. We reserve the right to impose proportionate technical limits or suspend access where necessary to protect the Service, other users, or our intellectual property.
7. QBank, Printing, Downloading and Content Protection
Question-bank content, answer options, rationales, explanations, case studies, performance tools, and other protected interactive materials may not be copied, photographed, screen-recorded, scraped, systematically captured, reproduced, published, or distributed except where NursePrepWise expressly provides a print, download, export, or sharing function, or where applicable law expressly permits such use.
Cheat sheets and other resources specifically designated as downloadable may be downloaded and retained for your personal, non-commercial educational use. Download permission does not authorize resale, redistribution, public posting, removal of copyright or branding notices, upload to file-sharing services, or incorporation into another commercial product.
You may not upload substantial portions of NursePrepWise premium content to social-media groups, study repositories, competing question banks, tutoring repositories, public document stores, generative-AI training datasets, or other third-party systems for redistribution, model training, commercial exploitation, or systematic reuse.
8. Academic Integrity and Exam Security
NursePrepWise is intended solely for legitimate learning and exam preparation. You may not use the Service to obtain, solicit, reconstruct, upload, distribute, sell, or share confidential, stolen, recalled, or live examination questions or other secure examination materials.
You may not use NursePrepWise, its tutors, its content, or your account to obtain unauthorized assistance during a live, secure, or proctored examination; impersonate another candidate; circumvent examination-security or proctoring requirements; or otherwise violate an examination provider’s candidate agreement, confidentiality rules, testing policies, or applicable law.
We may suspend or terminate access where we reasonably believe the Service is being used for exam misconduct, academic dishonesty, or unauthorized distribution of secure exam content.
9. Subscription Terms
NursePrepWise may offer recurring subscription plans, including monthly, quarterly, six-month, or other billing intervals. The applicable price, currency, billing interval, features, and duration will be displayed before purchase.
A subscription remains active for the paid period unless it is suspended or terminated for a material breach of these Terms or as otherwise permitted by law. Expiration or cancellation of a subscription may end access to premium content while leaving your basic account information and certain study history available, subject to our Privacy Policy and product functionality.
Unless otherwise stated, subscriptions are personal and may not be transferred, assigned, sublicensed, resold, or shared. Institutional, employer-sponsored, school-sponsored, or group access may be governed by separate written terms.
10. Automatic Renewal and Cancellation
Unless clearly stated otherwise at checkout, paid NursePrepWise subscriptions automatically renew at the end of each billing period for another period of the same duration. By purchasing an automatically renewing subscription, you expressly authorize NursePrepWise and its payment processor to charge the applicable recurring price to your selected payment method until you cancel automatic renewal.
Before purchase, we will display the subscription price, currency, billing frequency, renewal terms, and a method of cancellation. Where required by applicable law, we will also provide renewal reminders, price-change notices, or other disclosures.
You may turn off automatic renewal through the cancellation functionality provided in your NursePrepWise account, currently available through the subscription controls in your profile, or through another cancellation method we make available. You may also contact support@nurseprepwise.com for assistance.
Cancellation prevents future renewal charges but does not ordinarily terminate access that has already been paid for. Unless applicable law requires otherwise, your access continues through the end of your current paid period and no prorated refund is created solely because you cancel renewal.
If a payment fails, we may retry the charge where permitted by the payment processor, notify you, and/or restrict premium access after the paid-through period has ended. A failed renewal does not retroactively cancel access for a period that was already paid.
11. Prices and Price Changes
Prices and promotional offers may change from time to time. Any price displayed on the Service applies to the transaction or renewal as disclosed at the time of purchase, subject to correction of obvious errors and applicable law.
A change to the publicly advertised price does not automatically change an existing subscriber’s recurring price. If we intend to change the amount charged to an existing recurring subscriber, we will provide any advance notice required by applicable law and an opportunity to cancel before the changed price becomes effective.
Taxes, bank charges, foreign-exchange charges, or other third-party fees may apply depending on your location and payment method. Where required, applicable taxes will be disclosed or collected as part of the transaction.
12. Payments and Billing
Payments are processed by third-party payment service providers, which may include Paystack and other providers that NursePrepWise may add in the future. Payment processing is also subject to the applicable provider’s terms and privacy practices.
NursePrepWise does not ordinarily receive or store your complete payment-card number, CVV, or other full card credentials where those details are submitted directly to the payment processor. You agree to provide accurate billing information and authorize the applicable processor to process charges associated with your purchase and recurring renewal.
Payment processors and card issuers may place temporary authorization holds, perform fraud screening, convert currencies, decline transactions, or impose other requirements according to their own procedures. A pending authorization or declined transaction does not by itself mean that NursePrepWise has received payment.
Following a successful purchase, we may display an on-screen confirmation and/or send a transactional email containing information about the plan, amount, billing interval, renewal status, and cancellation method.
13. Refunds and Billing Corrections
Because NursePrepWise provides digital educational content that may become available immediately after payment, subscription fees are not automatically refundable once access has been provided. Refund requests are reviewed case-by-case under the NursePrepWise Refund & Cancellation Policy, and NursePrepWise may provide a refund or billing correction where required by applicable law or where it determines that a refund or billing correction is appropriate.
We may provide a refund, reversal, credit, or other remedy where, for example:
- a duplicate or clearly erroneous charge occurred;
- payment was successfully collected but the purchased access was not provided and we cannot reasonably correct the problem;
- we approve a refund as a customer-service remedy; or
- a refund, cancellation, cooling-off right, or other remedy is required by applicable consumer law.
Cancelling automatic renewal does not ordinarily create a prorated refund for the unused portion of the current paid period. Any refund approved by NursePrepWise will normally be returned through the original payment method where practicable.
Nothing in this section limits consumer rights that cannot lawfully be waived, including any mandatory rights that may apply to digital or automatically renewing services in your jurisdiction.
14. Tutoring Services
Tutoring services, where offered, are separate from the standard NursePrepWise subscription unless a specific offer expressly states otherwise. Tutoring availability, fees, scheduling, rescheduling, cancellation, tutor assignment, and session-specific terms may be presented separately before booking or confirmation.
Tutoring is educational support only. Tutors do not guarantee a particular exam score, examination result, admission decision, licensure outcome, graduation, employment outcome, or clinical result. Tutors may not assist with live or secure examinations in violation of exam-provider rules or these Terms.
15. Content Updates, Accuracy and Educational Use
NursePrepWise aims to provide accurate, useful, and current educational materials. Nursing standards, medication guidance, examination blueprints, test formats, clinical recommendations, and professional guidance may change over time. We may revise, correct, replace, archive, or remove content when new information becomes available or when we identify an error.
NursePrepWise content is provided for educational and exam-preparation purposes only. It is not medical advice, nursing advice, diagnosis, treatment guidance for an actual patient, legal advice, professional clinical supervision, or a substitute for current institutional policies, official examination guidance, primary clinical sources, prescribing information, or professional judgment.
You should not use a NursePrepWise practice question, rationale, cheat sheet, tutoring statement, or other educational resource as the sole basis for actual patient care. In clinical practice, users must rely on appropriately qualified professionals, current authoritative sources, local policies, and their own professional scope and judgment.
NursePrepWise does not guarantee that use of the Service will result in passing an examination, achieving a specific score, gaining admission, graduating, obtaining licensure or certification, securing employment, or achieving any other academic or professional outcome.
16. Intellectual Property and Ownership
Unless otherwise stated, the Service and its original content, including questions, rationales, explanations, study guides, cheat sheets, graphics, branding, designs, software, databases, taxonomy, organization, and other materials, are owned by or licensed to NursePrepWise and are protected by copyright, trademark, database, and other applicable intellectual-property laws.
You may not reverse engineer protected components of the Service, create derivative commercial question banks substantially based on NursePrepWise materials, remove proprietary notices, or use our content in a manner that exceeds the personal educational license granted under these Terms.
If you submit feedback, suggestions, error reports, or product ideas, you grant NursePrepWise a non-exclusive, worldwide, royalty-free right to use that feedback to operate, improve, and develop the Service. This feedback license does not automatically transfer ownership of unrelated intellectual property you may provide to us.
17. Third-Party Examination Marks and No Affiliation
NursePrepWise is an independent commercial educational service provider. References to third-party examinations, organizations, and trademarks are used solely to identify the examinations or subject areas for which our independent preparation materials are intended.
NCLEX®, NCLEX-RN®, NCLEX-PN®, NCSBN®, and related marks are trademarks or service marks of the National Council of State Boards of Nursing, Inc. HESI® is a trademark of Elsevier Inc. ATI, ATI TEAS, and related marks are owned by their respective owners. Other third-party marks appearing on the Service remain the property of their respective owners.
Unless expressly stated otherwise, NursePrepWise is not affiliated with, sponsored by, endorsed by, approved by, or acting on behalf of NCSBN, Elsevier, ATI, or any other examination owner, licensing authority, school, university, or testing organization.
18. Prohibited Uses
You may not use the Service to:
- violate any applicable law, regulation, court order, or contractual obligation;
- infringe or misappropriate intellectual-property, privacy, publicity, confidentiality, or other rights;
- share, resell, rent, sublicense, transfer, or commercially exploit an individual subscription;
- scrape, crawl, harvest, systematically download, or automate access to protected content without written authorization;
- interfere with, overload, probe, disable, bypass, or circumvent security, access controls, rate limits, authentication, or technical restrictions;
- introduce malware, malicious code, or harmful automated activity;
- commit payment fraud, identity fraud, impersonation, or account abuse;
- harass, threaten, abuse, defame, discriminate against, or unlawfully target other users, tutors, employees, or contractors;
- facilitate exam misconduct, academic dishonesty, or unauthorized access to secure testing materials; or
- use NursePrepWise content to build or materially populate a competing commercial exam-preparation database, question bank, or AI training corpus without our written permission.
19. Suspension and Termination
You may stop using the Service at any time and may cancel future renewals as described in these Terms. We may suspend, restrict, or terminate access where reasonably necessary because of material breach, fraud, non-payment, security risk, account sharing, intellectual-property infringement, exam misconduct, unlawful activity, abuse of the Service, or conduct that materially threatens NursePrepWise or other users.
Where reasonably practicable and appropriate, we may provide notice or an opportunity to cure before termination. We may act without prior notice where immediate action is reasonably necessary to protect security, prevent fraud, comply with law, or address serious misuse.
Termination or expiration does not affect rights, payment obligations, licenses, limitations, or liabilities that by their nature should survive termination, including intellectual-property protections, disclaimers, limitation-of-liability provisions, and dispute provisions.
20. Third-Party Services and Links
The Service may rely on or link to third-party payment processors, authentication services, hosting services, email providers, analytics tools, educational resources, or websites. Third-party services are governed by their own terms and privacy policies.
We are not responsible for third-party services that are outside our reasonable control, and the presence of a link does not necessarily constitute endorsement. You should review the applicable third-party terms before using those services.
21. Privacy and Electronic Communications
Our collection, use, storage, sharing, and protection of personal information are described in the NursePrepWise Privacy Policy, which is incorporated into these Terms by reference.
By creating an account or purchasing a Service, you consent to receiving transactional communications necessary to operate the Service, including account verification, security notices, purchase confirmations, subscription notices, password resets, tutoring communications, and service updates. Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.
Depending on the Service you use, we may process information such as account identifiers, contact details, subscription status, study activity, question performance, bookmarks, tutoring inquiries, support communications, and technical information. Your privacy rights vary by jurisdiction and are described more fully in our Privacy Policy.
22. Availability and System Requirements
NursePrepWise requires a compatible internet-connected device and a reasonably current web browser. We do not guarantee compatibility with every device, operating system, browser version, browser extension, accessibility tool, corporate network, firewall configuration, or third-party software environment.
We may perform scheduled or emergency maintenance, change technical requirements, or discontinue support for obsolete systems. We will use reasonable efforts to maintain availability but do not guarantee uninterrupted or error-free access. You are responsible for your internet connection and any data, roaming, telecommunications, or equipment charges associated with use of the Service.
23. Accessibility
NursePrepWise aims to make its website and educational resources accessible to users with disabilities and intends to continue improving accessibility as the platform develops. If you experience an accessibility barrier, contact support@nurseprepwise.com and identify the page, feature, or resource affected so that we can review the issue and consider reasonable solutions.
Unless and until an independent accessibility audit has been completed, NursePrepWise does not represent that every feature or resource conforms to a particular accessibility standard.
24. Copyright Complaints
If you believe material available through NursePrepWise infringes copyright or another intellectual-property right, contact support@nurseprepwise.com with sufficient information to identify the protected work, the allegedly infringing material, its location on the Service, your contact information, and the basis for your claim.
We may request additional information and may remove, restrict, or restore content as appropriate after reviewing a complaint. Nothing in this section represents that NursePrepWise has appointed a formal United States DMCA designated agent unless and until such an appointment and registration have actually been completed.
25. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. NURSEPREPWISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER’S PARTICULAR EDUCATIONAL NEEDS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY OTHER IMPLIED WARRANTY THAT MAY OTHERWISE APPLY, EXCEPT TO THE EXTENT THAT SUCH WARRANTY OR RIGHT CANNOT LAWFULLY BE EXCLUDED.
We will use reasonable efforts to correct material errors and maintain the Service, but temporary outages, technical failures, third-party interruptions, maintenance, internet disruptions, and events outside our reasonable control may occur.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NURSEPREPWISE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, TUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, OR SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF THE POSSIBILITY OF SUCH LOSS WAS KNOWN.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO A PARTICULAR PAID SUBSCRIPTION WILL NOT EXCEED THE AMOUNT YOU PAID TO NURSEPREPWISE FOR THE SUBSCRIPTION PERIOD GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited, and they do not reduce any mandatory consumer remedy available to you. Different jurisdictions may restrict the enforceability of particular limitations, in which case the limitation applies only to the maximum extent permitted by law.
27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless NursePrepWise and its directors, officers, employees, contractors, tutors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, your infringement of another person’s rights, your unauthorized distribution or commercial exploitation of NursePrepWise content, or your use of the Service to facilitate exam misconduct or fraud.
28. Changes to These Terms
We may revise these Terms from time to time as the Service, our business, or applicable law changes. The current version and effective date will be posted on the Service.
For material changes that adversely affect an active paid subscription, we may provide additional notice by email, in-product notice, or another reasonable method. Where required by law, changes will take effect only after the applicable notice period or at the next renewal, and you will have an opportunity to cancel before the changed terms apply.
Continued use of the Service after revised Terms become effective constitutes acceptance to the extent permitted by applicable law. If you do not agree to a material change, you should stop using the Service and cancel future renewal before the change becomes applicable to you.
29. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-laws principles, except that nothing in these Terms limits mandatory consumer-protection rights that apply to you under the laws of your place of residence.
Before initiating formal proceedings, you and NursePrepWise agree to make a reasonable good-faith effort to resolve the dispute by contacting the other party and describing the issue and requested resolution. This informal-resolution provision does not prevent either party from seeking urgent injunctive or protective relief where legally appropriate.
Subject to any mandatory rights that apply to a consumer in another jurisdiction, disputes that cannot be resolved informally may be brought before a court of competent jurisdiction in Kenya.
30. General Contract Terms
If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of that provision or any other right. You may not assign or transfer your individual subscription or these Terms without our written consent. We may assign these Terms to an affiliate, purchaser, successor, or entity acquiring all or substantially all of the relevant business or assets, subject to applicable law.
We are not responsible for delay or failure caused by events outside our reasonable control, including major internet outages, cloud-service failures, natural disasters, war, terrorism, civil disturbance, government action, labor disruption, or widespread infrastructure failure, provided that this clause does not excuse obligations that applicable law does not permit us to exclude.
These Terms and the policies expressly incorporated into them constitute the entire agreement concerning the Service, except for any separate written agreement signed by NursePrepWise that expressly modifies them. Headings are for convenience only and do not limit interpretation.
